Terms and Conditions

By scheduling an Initial Property Visit (“Tour”) and confirming your property address (“Property”) you are representing that you are an owner or authorized representative of the Property and are hereinafter referred to as Authorizer, in favor of Homebridge, LLC, a limited liability company organized and existing under the laws of the state of Tennessee along with its partners, associates, representatives, and assignees referred to collectively hereinafter as Homebridge.

Whereas, Authorizer shall allow entrance and access to Property and authorizes Homebridge, as well as its representatives, associates, and assignees to conduct a physical and/or virtual analysis of the Property to examine the condition, surroundings, and gather video or photos of the Property at a mutually agreed upon time within (60) days of the initially scheduled date of the Tour.

Whereas, Homebridge requires Authorizer’s agreement to terms and conditions set forth in order for Property to be the subject of said physical and/or virtual analysis to assist Homebridge in conducting an assessment of the initial indication of interest to move forward with any further arrangements related to purchasing the Property;

Now, therefore, for and in consideration of said assessment, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Authorizer agrees to the following:

1. Authorizer consents to Property being the subject of physical and/or virtual tour and analysis activities (including but not limited to video and photographs) together with any subject matter owned by Authorizer, and hereby authorizes Homebridge to cause the same to be exhibited.

2. Authorizer hereby releases Homebridge from any and all claims for damages for libel, slander, invasion of privacy, or any other claim based on any tour, analysis, or inspection activity or use of any materials before, during or after said tour(s).

3. Authorizer further releases Homebridge from any and all claims for damage before, during, or after tour(s).

The Authorizer understands that the activities the Property may be the subject to can be dangerous and may cause serious or grievous injuries, including bodily injury, property damage, and/or death. The undersigned Authorizer waives all claims for damages (including damages to person as well as property damages), injuries and death sustained by me that he/she may have or acquire against Homebridge regarding any such activities.

Confidentiality. Authorizer acknowledges that the existence and the terms and conditions and any oral or written information exchanged between the Authorizer and Homebridge in connection with the preparation and performance of the terms and conditions are regarded as confidential information. Authorizer shall not disclose any relevant confidential information except for the information that is required to be disclosed to its shareholders, investors, legal counsels or financial advisors regarding the potential transaction contemplated for the Property subject to this Release, provided that such shareholders, investors, legal counsels or financial advisors shall be bound by confidentiality obligations.
